1. Acceptance of Terms

By placing an order with Cleerline Technology Group, LLC (“Cleerline,” “we,” “us,” or “our”), purchasing our products through any channel, or using our products in any application, the buyer (“Buyer” or “customer”) agrees to be bound by these Terms & Conditions of Sale (“Terms”). These Terms govern all sales, orders, and transactions between Cleerline and Buyer. If Buyer does not agree to these Terms, Buyer must not place an order or use Cleerline products.

These Terms supersede any conflicting terms or conditions contained in any purchase order, request for quote, or other document submitted by Buyer, unless expressly agreed to in writing and signed by an authorized representative of Cleerline.


2. Orders, Pricing and Payment

2.1 Order Acceptance

All orders are subject to acceptance by Cleerline. Cleerline reserves the right to accept or reject any order at its sole discretion. An order is deemed accepted only upon written confirmation by Cleerline or shipment of the ordered products.

2.2 Pricing

All prices are in U.S. dollars and are subject to change without notice until an order has been accepted by Cleerline. Prices do not include applicable taxes, shipping, handling, or insurance unless expressly stated.

2.3 Payment Terms

Payment terms are as stated on the applicable invoice. Cleerline reserves the right to require prepayment or other payment arrangements for new accounts or accounts with past-due balances. Overdue balances may be subject to a finance charge.


3. Shipping and Delivery

Cleerline will use commercially reasonable efforts to meet estimated delivery dates; however, delivery dates are estimates only and are not guaranteed. Cleerline shall not be liable for delays in delivery caused by circumstances beyond its reasonable control.

3.1 Cleerline-Arranged Shipment

On orders shipped using Cleerline’s carrier account, Cleerline arranges shipment on behalf of the Buyer as a convenience. Risk of loss transfers to Buyer upon delivery to the end destination as confirmed by carrier tracking. In the event of loss or damage during transit, Cleerline will work with the carrier on Buyer’s behalf to assist in filing a claim; however, Cleerline’s liability is limited to reasonable assistance with such a claim and does not extend to replacement of the shipment unless Cleerline is determined to be directly at fault for the loss.

3.2 F.O.B. Shipments

On orders designated as F.O.B. Origin and risk of loss to products passes to Buyer upon delivery to the carrier at Cleerline’s facility. Once the shipment is in the carrier’s possession, Cleerline bears no responsibility for loss, damage, delay, or mis-delivery. Buyer is responsible for filing any claims directly with the carrier. Title to all products shall remain with Cleerline until all amounts owed by Buyer for such products have been paid in full. Buyer grants Cleerline a purchase money security interest in the products until payment is received in full.

3.3 Shipping Terms Confirmation

The applicable shipping terms (Cleerline-arranged or F.O.B.) will be noted on the order acknowledgment or invoice. If no shipping terms are specified, the default is F.O.B. Origin. Buyer should review the invoice at the time of order to confirm the applicable terms.

 

4. Product Specifications and Standards

Cleerline warrants that its products conform to the published specifications set forth in Cleerline’s current product documentation and datasheets at the time of shipment. Cleerline continuously invests in product development and reserves the right to modify product specifications without prior notice, provided that such modifications do not materially reduce the functional performance of the product.

Published specifications represent performance under laboratory or controlled test conditions. Actual field performance may vary based on installation quality, environmental conditions, system design, and third-party components.

 

5. Installation Disclaimer and Limitation of Installer Liability

Cleerline products are professional-grade fiber optic cables, components, and accessories intended for installation by qualified personnel who possess the necessary knowledge, skills, and experience in fiber optic installation and termination practices.

5.1 Installer Responsibility

Cleerline does not install its products and has no control over how, where, or by whom its products are installed. The performance and reliability of any fiber optic system depend significantly on the quality of installation practices, including but not limited to:

  • Proper cable routing, bending radius compliance, and strain relief
  • Correct termination technique, including cleaving, polishing, and connector seating
  • Appropriate use of tools, test equipment, and consumables
  • Compliance with applicable codes, standards (including TIA/EIA, NEC, and local codes), and manufacturer guidelines
  • Proper labeling, documentation, and system testing upon completion

Cleerline shall have no liability for any product failure, signal loss, system downtime, or other issue arising from improper installation, misuse, abuse, unauthorized modification, or failure to follow Cleerline’s published installation guidelines and best practices.

5.2 Installer Qualifications

Cleerline strongly recommends that all installation work be performed by technicians who hold recognized industry certifications such as those offered by BICSI, FOA (Fiber Optic Association), or equivalent. Cleerline provides installation guides, termination videos, and technical support resources at cleerline.com to assist installers; however, access to these resources does not substitute for proper training and hands-on experience.

Cleerline also offers the Cleerline Fiber Academy, a training and certification program covering fundamental fiber optic principles, installation practices, and Cleerline-specific products and termination methods. While the Fiber Academy provides a strong foundational knowledge base, it is not intended as a substitute for more comprehensive industry certification programs such as those offered by BICSI or FOA. Completion of Fiber Academy training is strongly encouraged for anyone working with Cleerline products and may be considered when evaluating warranty claims involving installation-related issues. 5.3 No Warranty on Installed Systems

Cleerline’s product warranty (see Section 6) applies solely to the product itself as manufactured and shipped. Cleerline makes no warranty, express or implied, regarding the performance of any installed system or network, regardless of whether Cleerline products are used therein.

5.4 Quotations and Specifications

Product recommendations, specifications, and quantities provided by Cleerline in any quotation, proposal, or specification assistance are based solely on information available to Cleerline at the time of quotation. Cleerline's recommendations are made as a convenience and do not constitute engineering advice or a guarantee of suitability for any specific application. It is the sole responsibility of the specifying engineer, installer, contractor, and/or end user to verify that all recommended products are suitable for the intended application and comply with all applicable project requirements, codes, standards, and certifications prior to procurement or installation. Cleerline accepts no liability for errors, omissions, or damages resulting from incomplete, inaccurate, or changed project information provided by Buyer or any third party.

 

6. Limited Product Warranty

6.1 Standard Warranty Coverage

Cleerline Technology Group warrants to the original purchaser that its products will conform to applicable specifications and be free from defects in material and workmanship under normal use and service conditions for the following periods from the date of shipment:

  • Non-electronic products — including cabling, connectors, and non-electronic accessory products: Five (5) years
  • Products with electronic components -- including media converters, power supplies, and testing equipment: Two (2) years

In all cases, Cleerline must be given immediate written notice of any defect and the opportunity to inspect the product to determine whether a breach of warranty has occurred. The defective product must be either scrapped or returned to Cleerline at its expense and per its shipping instructions.

6.2 Extended Warranty -- Bulk Cable

Cleerline warrants its bulk cable against defects in materials or workmanship under normal use and conditions for five (5) years per the Standard Warranty Terms above. An Extended Warranty providing 30 total years of coverage is available upon submission of qualifying cable testing data, subject to the following conditions:

  • Cable must be certified using a fiber Optical Power Meter / Optical Light Source test kit rated for certification to TIA-568-C standards
  • Test data must be submitted to Cleerline within 60 days of installation completion, using the Extended Warranty Application form
  • Cleerline reserves the right to reject extended warranty applications where the testing unit or certification data does not meet TIA-568-C standards

The Extended Warranty is solely for the benefit of the original purchaser. Cleerline will repair or replace any defective product or parts covered under an approved extended warranty claim.

6.3 Warranty Exclusions

This warranty does not cover, and Cleerline expressly disclaims any warranty for, defects, damage, or failure resulting from:

  • Improper installation, handling, storage, or use not in accordance with Cleerline’s published guidelines
  • Improper assembly of connectors and cable
  • Installation by unqualified personnel or use of incompatible tools, connectors, or equipment
  • Exceeding specified bend radius, tensile load, crush load, or other mechanical ratings
  • Exposure to environmental conditions outside the product's rated operating range
  • Physical damage, negligence, accident, solvents, unauthorized modifications, or problems caused by third-party equipment
  • Normal wear and tear

6.4 Warranty Remedy

Cleerline’s sole responsibility under this warranty is to repair or replace any length of product found to be defective during installation or normal and proper use. This warranty is the Buyer’s exclusive remedy for defective products. Cleerline will not be responsible for labor costs, installation costs, removal costs, or any other costs associated with the replacement of products.

6.5 Warranty Claim Procedure

To initiate a warranty claim, Buyer must contact Cleerline in writing within the applicable warranty period to obtain a Return Merchandise Authorization (RMA) number. Products returned without a valid RMA number will not be accepted. Cleerline’s determination of whether a defect is covered under this warranty shall be final.

 

7. Disclaimer of Warranties

EXCEPT FOR THE LIMITED WARRANTY SET FORTH IN SECTION 6, CLEERLINE MAKES NO WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO ITS PRODUCTS, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. CLEERLINE DOES NOT WARRANT THAT ITS PRODUCTS WILL MEET BUYER’S SPECIFIC REQUIREMENTS OR THAT OPERATION OF ANY SYSTEM IN WHICH CLEERLINE PRODUCTS ARE USED WILL BE UNINTERRUPTED OR ERROR-FREE.

 

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CLEERLINE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE GOODS OR SERVICES, ARISING OUT OF OR IN CONNECTION WITH THE SALE, USE, OR PERFORMANCE OF CLEERLINE PRODUCTS, EVEN IF CLEERLINE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL CLEERLINE’S TOTAL CUMULATIVE LIABILITY TO BUYER FOR ANY CLAIM ARISING OUT OF OR RELATED TO ANY CLEERLINE PRODUCT EXCEED THE AMOUNT ACTUALLY PAID BY BUYER FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM.

THE LIMITATIONS OF LIABILITY SET FORTH HEREIN APPLY REGARDLESS OF THE FORM OF ACTION, WHETHER ARISING IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE, WARRANTY, OR OTHERWISE.

 

9. Returns and Cancellations

Standard stocking products may be returned within thirty (30) days of shipment in original, unused, and undamaged condition with prior written authorization from Cleerline (RMA required). Returns are subject to a restocking fee. Custom-manufactured, special-order, or cut-to-length products are non-returnable and non-cancellable once an order has been accepted. Cleerline reserves the right to refuse returns that do not meet these requirements.

 

10. Regulatory Compliance and Codes

Buyer is solely responsible for ensuring that the use and installation of Cleerline products complies with all applicable local, state, federal, and international laws, codes, and regulations, including but not limited to the National Electrical Code (NEC), local building codes, and applicable TIA/EIA standards. Cleerline’s products are designed to meet industry standards as described in product documentation; however, it is the Buyer’s and installer’s responsibility to confirm suitability for the intended application and jurisdiction.

Buyer shall also comply with all applicable export control, economic sanctions, customs, and trade laws. Buyer shall not export, re-export, transfer, or resell products in violation of applicable law.

 

11. Intellectual Property

All trademarks, trade names, patents, and proprietary technology associated with Cleerline products, including the BendSafe® and SSF™ designation, are the exclusive property of Cleerline Technology Group, LLC or its licensors. Nothing in these Terms grants Buyer any license or right to use Cleerline’s intellectual property except as necessary to resell or use the purchased products in the ordinary course of business.

 

12. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or related to the sale of Cleerline products shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any dispute that cannot be resolved informally shall be submitted to binding arbitration in Suffolk County, State of New York under the rules of the American Arbitration Association. Notwithstanding the foregoing, Cleerline may seek injunctive or other equitable relief in any court of competent jurisdiction.

 

13. General Provisions

13.1 Force Majeure

Cleerline shall not be liable for any delay or failure in performance caused by events beyond its reasonable control, including acts of God, natural disasters, fire, flood, labor disputes, pandemics, governmental actions, embargoes, transportation interruptions, carrier delays, shortages of materials, cyber incidents, utility failures, or acts of terrorism. Notwithstanding the foregoing, no force majeure event shall excuse, delay, or otherwise relieve Buyer of its obligation to pay any amounts due and owing to Cleerline.

13.2 Entire Agreement

These Terms, together with any applicable order acknowledgment or written agreement signed by both parties, constitute the entire agreement between Cleerline and Buyer with respect to the subject matter hereof and supersede all prior or contemporaneous understandings, representations, and agreements.

13.3 Severability 

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

13.4 Waiver

Failure by Cleerline to enforce any provision of these Terms shall not constitute a waiver of Cleerline’s right to enforce that or any other provision in the future.

13.5 Amendment

Cleerline reserves the right to update or modify these Terms at any time. The current version of these Terms will be posted at cleerline.com. Continued purchase or use of Cleerline products after any modification constitutes acceptance of the revised Terms.
